Asgard Connectivity Suite 30 Day Evaluation

You must read and agree to accept the terms of the following evaluation license agreement. After reading this you will be given an opportunity to accept or decline this agreement.

BY CLICKING THE ACCEPTANCE BUTTON OR INSTALLING THE SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE BUTTON THAT INDICATES YOU DO NOT ACCEPT THE TERMS AND DO NOT INSTALL THE SOFTWARE. IF THE COPY OF THE SOFTWARE YOU RECEIVED WAS ACCOMPANIED BY A PRINTED OR OTHER FORM OF "HARD-COPY" END USER LICENSE AGREEMENT WHOSE TERMS VARY FROM THIS AGREEMENT, THEN THE HARD-COPY END USER LICENSE TAKES PRECEDENCE OVER THIS AGREEMENT.

ASGARD SOFTWARE, INC. END USER EVALUATION LICENSE AGREEMENT

REDISTRIBUTION OR RENTAL NOT PERMITTED

This Agreement sets forth the terms and conditions of your use of the accompanying Asgard Connectivity Suite software product("the Product"). Any third party software that is provided with the Product with such third party’s license agreement (in either electronic or printed form) is included for use at your option. If you choose to use such software, then such use shall be governed by such third party’s license and not by this Agreement.

If you initially acquired a copy of the Product free of charge and you wish to purchase a license, contact Asgard Software, Inc. ("Asgard") on the Internet at http://www.asgardsw.com.

LICENSE GRANT. Asgard grants you a personal, non-exclusive, non-transferable license to use the Product free of charge if your use of the Product is solely for the purpose of evaluating whether to purchase an ongoing license to the Product. The evaluation period for use by or on behalf of you is limited to thirty (30) days.

[ DISCLAIMER OF WARRANTY. FREE OF CHARGE PRODUCT IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, INCLUDING WITHOUT LIMITATION THE WARRANTIES THAT THE PRODUCT IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE OR NON-INFRINGING.] The entire risk as to the quality and performance of the Product is borne by you. Should the Product prove defective in any respect, you and not Asgard assume the entire cost of any service and repair. In addition, you must determine that the Product sufficiently meets your requirements. This disclaimer of warranty constitutes an essential part of this Agreement. No use of the Product without payment of license fees to Asgard is authorized hereunder except under this Disclaimer.

You agree that Asgard retains sole ownership of the Product and all rights to and in the Product, including, but not limited to, documentation, copyrights and trade secret rights. You also agree that the computer program(object code) and documentation are subject to the proprietary rights of Asgard. You agree that the programs and documentation are trade secrets of Asgard , are protected by civil and criminal and copyright law of the United States and of the country where used, and are very valuable to Asgard, and that you will carefully control their use or unauthorized disclosure. You may not, without Asgard’s express prior written consent, assign, sublicense, pledge or otherwise transfer any interest in the Product or any of its rights or any of your obligations under this Agreement to any other party. You agree to ensure that the Product and documentation or any portion of them are not reproduced, copied, printed, disclosed, transferred, sold or in any other way made available by you or any or your employees or agents to any other firm, corporation, or other entity. You will notify Asgard of any unauthorized use, copying, and/or disclosure.

USE. This license agreement grants you permission to use the Product only on one computer. No other use is permitted.

You may not:

** modify, translate, reverse engineer, decompile, disassemble or create derivative works based on the Product.

** copy the Product with the exception of backup purposes in which case you will maintain no more than one archival copy of the software and the copy will contain all legends and notices and will be subject to the same conditions and restrictions as the original.

** rent, lease, grant a security interest in, or otherwise transfer rights to the Product; or

** remove any proprietary notices or labels on the Product.

LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES SHALL ASGARD BE LIABLE FOR INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND.

EXCEPT AS EXPRESSLY STATED HEREIN, ASGARD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, CONCERNING THE PACKAGE COVERED BY THIS AGREEMENT, INCLUDING ALL WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

MISCELLANEOUS. This Agreement will be under the jurisdiction of, governed by and construed in accordance with the laws of the State of North Carolina in the United States of America.
